Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Freelanced Nepal, a digital freelance marketplace operated by Black Snow Nepal Pvt. Ltd. ("Company", "we", "us", or "our"), a company registered under the laws of Nepal.

By creating an account, accessing, or using the platform in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the platform.

We may update these Terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms. We will notify registered users of material changes by email at least 14 days before they take effect.

2. Eligibility

To use Freelanced Nepal you must:

• Be at least 18 years of age
• Have the legal capacity to enter binding contracts under Nepal law
• Not be barred from using the platform under applicable law
• Provide accurate, complete, and current registration information

If you are using the platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Platform Role

Freelanced Nepal is a marketplace platform that facilitates connections between Employers (individuals or businesses seeking freelance work) and Freelancers (independent professionals offering services). We are not a party to any contract formed between Employers and Freelancers, and we are not an employer of any Freelancer.

We provide the infrastructure, escrow service, messaging system, and dispute resolution mechanism. The Company assumes no responsibility for the quality, safety, legality, or delivery of any services exchanged through the platform.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately atsupport@freelancednepal.comif you suspect any unauthorised use.

Each person may hold only one account. Creating multiple accounts to circumvent suspensions, bans, or platform rules is prohibited and will result in permanent removal from the platform.

Freelancer accounts require manual verification before proposals can be submitted. We reserve the right to approve or reject Freelancer applications at our sole discretion.

5. Freelancer Terms

• Freelancers must accurately represent their skills, experience, qualifications, and identity. Misrepresentation is grounds for immediate account termination.
• Service listings and proposals must be genuine. Freelancers agree to deliver work that materially conforms to the agreed scope and quality.
• Freelancers are responsible for their own tax obligations under Nepal law. The platform does not withhold tax on behalf of Freelancers.
• A 15% platform commission is deducted from each payment released from escrow. The commission covers platform infrastructure, payment processing, escrow management, and dispute resolution services.
• Freelancers must not solicit off-platform payments from Employers they met through Freelanced Nepal for a period of 12 months from the date of first contact.

6. Employer Terms

• Employers must post only genuine projects with an intent to hire. Fake or exploratory postings designed to gather competitive intelligence are prohibited.
• Employers must fund the escrow before a Freelancer begins work. Attempting to receive work without funding escrow is considered fraud.
• Employers must review submitted work within 14 days of delivery. If no action is taken within 14 days, funds are automatically released to the Freelancer.
• Employers must not solicit off-platform engagement with Freelancers they discovered through Freelanced Nepal within 12 months of first contact.

7. Payments and Escrow

All payments on Freelanced Nepal are processed through an escrow system to protect both parties:

• The Employer funds escrow before work begins
• Funds are held by the platform until the Employer approves the deliverable
• Upon approval, funds (minus 15% platform fee) are credited to the Freelancer's wallet
• In the event of a dispute, funds remain in escrow pending resolution

Payments are accepted in Nepalese Rupees (NPR) via licensed local payment gateways. International bank transfers (SWIFT) are accepted with prior arrangement. All amounts displayed on the platform are in NPR unless otherwise stated.

Platform wallet balances are held by Black Snow Nepal Pvt. Ltd. and are not insured or interest-bearing. Wallet funds can be used for future platform transactions or withdrawn via bank transfer per our Refund Policy.

8. Intellectual Property

Upon full payment and release of escrow funds, the Employer receives full ownership of all custom work product created by the Freelancer for that specific project, unless the parties have agreed otherwise in writing within their project scope.

Freelancers retain the right to display completed work in their portfolio unless the Employer has requested confidentiality as part of the project agreement.

Pre-existing intellectual property, tools, frameworks, and methodologies used by the Freelancer remain the property of the Freelancer. Only the bespoke deliverable is transferred.

9. Prohibited Conduct

You agree not to:

• Circumvent the platform to make or receive off-platform payments for work introduced through Freelanced Nepal
• Post false, misleading, or fraudulent information in profiles, listings, or communications
• Harass, threaten, or abuse other users
• Create multiple accounts or impersonate another person or entity
• Use the platform to facilitate or promote any illegal activity
• Submit or solicit fake reviews or ratings
• Attempt to compromise the security or integrity of the platform
• Use automated scripts, bots, or scrapers without prior written approval
• List services that violate our Community Guidelines (adult content, illegal services, etc.)

10. Dispute Resolution

If an Employer and Freelancer cannot resolve a disagreement directly, either party may raise a formal dispute through the platform's dispute interface within 7 days of the delivery date.

Our dispute process works as follows:

• Both parties submit their evidence within 48 hours of the dispute being raised
• Our team reviews all submissions and attempts mediation within 7 business days
• If mediation fails, a binding admin ruling is issued
• Either party may appeal within 14 days of the ruling
• Cases involving suspected fraud are escalated to Nepal Police Cybercrime Unit

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The platform is provided "as is" without warranties of any kind
• We are not liable for the quality, timeliness, or legality of services exchanged between users
• We are not liable for indirect, incidental, special, or consequential damages
• Our total aggregate liability to any user shall not exceed the total fees paid by or to that user through the platform in the 3 months preceding the claim

12. Termination

We reserve the right to suspend or permanently terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users or the platform, at our sole discretion and without prior notice where circumstances require immediate action.

Upon termination, any pending escrow funds will be handled per our Refund Policy. Wallet balances belonging to non-violating users will be made available for withdrawal within 30 business days.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Nepal, including the Contract Act, 2056 (2000) and the Company Act, 2063 (2006). Any disputes arising from or related to these Terms shall first be subject to good-faith negotiation, then mediation, and finally — if unresolved — to the jurisdiction of the courts of Kathmandu, Nepal.

International users: If you are accessing the platform from the European Economic Area (EEA) or United Kingdom, we acknowledge your rights under the General Data Protection Regulation (GDPR) and UK GDPR. These rights are described in ourPrivacy Policy. However, the governing law and jurisdiction for contractual disputes remains Nepal.
